- Client Materials: You retain ownership of any materials you provide to us for the purpose of delivering our services. You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and modify such materials solely for the purpose of providing the services.
8. Confidentiality
- Confidential Information: Both parties agree to keep confidential any proprietary or confidential information disclosed during the provision of services. Confidential information includes but is not limited to business plans, technical data, and trade secrets.
- Exclusions: Confidential information does not include information that is publicly available, independently developed without reference to the confidential information, or required to be disclosed by law.
9. Data Protection
- Personal Data: We are committed to protecting your personal data. Our use of your personal data is governed by our Privacy Policy, which forms part of these terms and conditions.

- Termination by Client: You may terminate your agreement with us at any time by providing written notice. Termination will be effective at the end of the current billing period.
- Termination by M3CA Studio: We may terminate or suspend your access to our services immediately, without prior notice or liability, if you breach these terms and conditions. Upon termination, your right to use the services will cease immediately.
13. Force Majeure
M3CA Studio shall not be liable for any failure or delay in performing our obligations under these terms and conditions if such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of terrorism, labor disputes, and governmental actions.
14. Governing Law and Dispute Resolution
- Governing Law: These terms and conditions shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
- Dispute Resolution: Any disputes arising out of or in connection with these terms and conditions shall be resolved through negotiation. If the parties are unable to resolve the dispute through negotiation, the dispute shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association.
15. Changes to Terms and Conditions
M3CA Studio reserves the right to modify these terms and conditions at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our services after any such changes constitutes your acceptance of the new terms and conditions.
16. Miscellaneous
- Severability: If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Entire Agreement: These terms and conditions, together with any agreement or statement of work, constitute the entire agreement between you and M3CA Studio regarding your use of our services.
- Waiver: No waiver of any term or condition shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

M3CA LTD – IT TRAINING PROGRAMME
TERMS AND CONDITIONS
1. Introduction
These Terms and Conditions (“Agreement”) govern participation in the IT Training Programme (“Programme”) provided by M3CA LTD (“Company”, “we”, or “us”). By enrolling in the Programme, you (“Participant”) agree to be bound by these terms.
2. Programme Overview
The Programme is designed to provide structured IT training, industry-standard certifications, and where applicable, guided transition into professional employment. It may include access to digital course materials, live or recorded sessions, mentorship, practical projects, and certification exam preparation.
3. Eligibility and Enrolment
Participants must be at least 18 years of age and possess a reasonable level of digital literacy. Enrolment is confirmed upon receipt of payment and submission of the signed enrolment or employment contract.
4. Fees and Payment
- The total fee for the Programme is payable in advance unless otherwise agreed in writing.
- Fees may cover training, exams, materials, and professional support.
- Once payment has been received and your enrolment confirmed, the refund policy (outlined below) will apply.
5. Refund Policy
M3CA LTD maintains a strict no-refund policy in the following circumstances:
a) Once the Participant has signed a Letter of Employment or Contract of Employment issued by M3CA LTD or its affiliated partners, the fee becomes non-refundable.
b) Where course access has been granted and training commenced (live or recorded), no refund will be issued for partial completion.
c) Refunds will not be issued due to personal relocation, change in circumstances, lack of time, or voluntary withdrawal.
6. Training Delivery and Exams
- Training will be delivered via a blended learning model including online, in-person, or hybrid formats.
- Participants are expected to complete modules, assignments, and mock exams as scheduled.
- All external exam booking fees are covered once per participant unless otherwise stated. Resit fees, if required, may be charged separately.
7. Employment Support
Upon successful completion of the programme, participants may be assisted in transitioning to employment through CV support, interview preparation, or internal placements. However, job placement is not guaranteed unless explicitly stated in the contract.
8. Participant Conduct
Participants are expected to behave professionally throughout the programme. Any form of harassment, abuse, or disruptive behaviour—whether toward staff or other learners—may result in removal from the programme without refund.
9. Intellectual Property
All materials provided during the Programme are the intellectual property of M3CA LTD or its licensors. Reproduction, distribution, or resale without permission is strictly prohibited.
10. Communication and Support
Official communication is maintained via email and designated channels. Excessive or inappropriate contact through personal numbers, including repeated missed calls or messages, may be deemed harassment and could result in restricted access to support services.
11. Programme Duration
The Programme is designed to be completed within the estimated timeline outlined at enrolment (e.g. 6–12 weeks). However, this may vary based on participant engagement and exam scheduling.
12. Amendments
M3CA LTD reserves the right to modify these Terms and Conditions without notice. Continued participation in the Programme after amendments indicates acceptance of the updated terms.
13. Governing Law
This Agreement shall be governed in accordance with the laws of England and Wales.

M3CA LTD – MEDIA SERVICES
TERMS AND CONDITIONS
1. Introduction
These Terms and Conditions (“Agreement”) govern the provision of media services (“Services”) by M3CA LTD (“Company”, “we”, or “us”) to the client (“Client”, “you”). By commissioning any media service from M3CA LTD, you agree to be bound by the terms outlined below.
2. Scope of Services
Media services provided by M3CA LTD may include, but are not limited to:
- Photography and videography
- Advertising and promotional content creation
- Graphic design and branding
- Editing and post-production
- Media consultancy and strategy
- Social media and digital content creation
Specific deliverables and timelines will be outlined in the individual project agreement, quotation, or service contract.
3. Booking and Payment
- A signed agreement or confirmation email and full or agreed deposit payment is required to secure any booking.
- The final balance must be paid in full before final delivery of any media files, unless otherwise stated in writing.
- Payment confirms acceptance of these Terms and Conditions.
4. No Refund Policy
All payments made to M3CA LTD for media services are non-refundable under any circumstances, including but not limited to:
- Change of mind
- Client dissatisfaction due to subjective preferences once work has been delivered as per agreed brief
- Cancellation of event or project
- Delays or unavailability on the part of the client
In exceptional cases where a refund is considered, this is solely at the discretion of M3CA LTD and must be requested in writing.
5. Revisions and Alterations
- Projects include a defined number of revisions as stated in the service agreement.
- Additional changes or requests outside the original scope may incur extra charges.
- M3CA LTD is not obligated to revise or amend any material after final approval has been given by the client.
6. Intellectual Property and Usage Rights
- Upon full payment, the client receives rights to use the final deliverables for personal, commercial, or organisational use as agreed.
- M3CA LTD retains the right to use any material (photos, videos, designs, audio, etc.) produced as part of your project for our own promotional and portfolio purposes, including but not limited to our website, social media platforms, presentations, and printed marketing materials.
- If you wish to request a non-disclosure or restrict promotional use, this must be agreed in writing before the commencement of the project and may incur additional charges.
7. Client Responsibilities
The client agrees to:
- Provide all required materials, content, and feedback promptly to avoid delays.
- Ensure that all permissions, rights, and licenses for third-party content are properly secured before submission to M3CA LTD/M3CA Studio.
- Attend scheduled meetings or shoots as arranged.
8. Project Timelines
Timelines for project completion are approximate and may be adjusted depending on revisions, client response time, or unforeseen circumstances. M3CA LTD will communicate clearly if timelines need to be revised.
9. Limitation of Liability
While every effort will be made to deliver high-quality work, M3CA LTD is not liable for:
- Any loss of revenue or reputation resulting from the use or delay of media content
- Technical failures, file loss, or equipment malfunction beyond our control
- Client dissatisfaction based on subjective interpretation of creative output, where the brief has been followed
10. Termination
M3CA LTD reserves the right to terminate services and retain all payments made if:
- The client fails to meet agreed deadlines for content submission or payments
- The client engages in abusive or unprofessional behaviour
- The project is delayed by the client beyond 30 days without reasonable explanation
11. Amendments
We reserve the right to update these Terms and Conditions at any time. Continued use of our services constitutes acceptance of any amended terms.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
